We protect the confidential product, brand and business information shared by buyers—and we require the same protection for Handmade Shoes Factory’s pricing, methods, supplier information, samples and internal materials.

This public page explains our standard mutual-confidentiality position. It does not replace a separately signed NDA, manufacturing agreement, purchase order or exclusivity agreement. A signed agreement will identify the legal parties, permitted purpose, duration, governing law and any project-specific obligations.
OUR CORE COMMITMENTS
The major protections buyers usually need
Confidentiality applies to information shared for quotation, sampling, product development, sourcing, manufacturing, packaging and order discussions.
No unauthorized use of your images
We will not publish, advertise, post, display or use buyer-supplied product photographs, campaign images, reference images or sample photographs in our website, portfolio, social media or marketing without prior written permission.
No disclosure of your brand relationship
We will not announce that a brand is our customer, display its logo, name it in a presentation, reveal its launch plans or discuss the business relationship with another buyer without written approval.
No sharing of confidential materials
Project-specific leathers, fabrics, components, colours, constructions, tech packs, specifications, samples and sourcing decisions will not be disclosed to unrelated clients or used to reveal the buyer’s confidential product direction.
PROTECTING THE BUYER
Information we treat as confidential
Information does not need to be stamped “confidential” when its nature and the circumstances clearly show that it should be treated privately.
Brand and ownership information
Brand names, logos, trademark files, artwork, packaging identities, private-label plans and unpublished customer or retailer information.
Product-development material
Tech packs, sketches, drawings, patterns supplied by the buyer, specifications, measurements, sizing, lasts identified for the project, prototypes, samples and revision comments.
Commercial and launch information
Target costs, quantities, forecasts, sales channels, launch dates, marketing plans, buyer contacts, destination markets and unreleased collection details.
Project-specific sourcing decisions
Selected materials, colour combinations, components, packaging decisions, testing requests and other non-public choices developed for the buyer’s project.

Mutual confidentiality means buyers, representatives and outside advisers must not disclose or misuse Handmade Shoes Factory’s protected information.
Quotations and commercial terms
Pricing, costing logic, sample charges, MOQ discussions, payment terms, production schedules, capacity discussions and negotiated commercial conditions must not be shared with competing factories or unrelated third parties.
Factory methods and know-how
Construction methods, workflow, quality-control methods, internal templates, production techniques, process documents and practical manufacturing know-how remain protected HSF information.
Supplier and sourcing network
Supplier identities, material sources, component sources, subcontractor information and negotiated sourcing arrangements must not be used to bypass or circumvent Handmade Shoes Factory.
Patterns, lasts, tooling and samples
HSF-owned or pre-existing patterns, lasts, moulds, tools, sample structures and development resources may not be copied, reverse engineered, transferred or used outside the agreed project without written authorization.
Factory photographs and documents
Non-public factory photographs, videos, floor information, production records, test records, staff details, internal documents and restricted development-area material may not be published or distributed without consent.
No unauthorized representation
No party may claim to be an agent, exclusive representative, partner, branch, employee or authorized spokesperson of Handmade Shoes Factory unless a written agreement expressly grants that authority.
MUTUAL RULES
How confidential information may be handled
These principles apply to both the buyer and Handmade Shoes Factory unless a signed agreement states different terms.
Use only for the agreed project
Confidential information may be used only to evaluate, quote, sample, develop, manufacture, inspect, package or complete the relevant business project.
Need-to-know access
Information may be shared only with employees, contractors, advisers, approved suppliers or service providers who genuinely need it for the project and are subject to confidentiality responsibilities.
Reasonable protection
Each party should use reasonable administrative, physical and technical measures to prevent unauthorized access, copying, publication, loss or misuse. No website statement can promise that every system is completely risk-free.
No license or ownership transfer
Sharing information does not automatically grant a trademark, copyright, design, manufacturing, distribution or other intellectual-property license.
Return, deletion or retention
On written request, confidential files and materials should be returned or deleted where reasonably possible, except for records retained for law, accounting, dispute prevention, backup integrity or agreed quality-control purposes.
Required legal disclosure
Information may be disclosed where required by a lawful court, regulator or government process. Where legally permitted, the receiving party should give prompt notice and limit disclosure to what is required.
OWNERSHIP & EXCLUSIVITY
Clear boundaries protect both parties
Buyer-owned material: The buyer retains rights it already owns in its brand, logo, original artwork, original design files and other buyer-created intellectual property.
HSF background knowledge: Handmade Shoes Factory retains its pre-existing manufacturing knowledge, generic constructions, methods, templates, patterns, lasts, processes, supplier relationships and tools unless a signed agreement expressly transfers identified rights.
Project-created items: Ownership of new patterns, lasts, tooling, moulds, prototypes, artwork and development work depends on the written quotation, payment record and signed project terms.
Exclusivity: Confidentiality does not automatically create product, territory, customer or design exclusivity. Any exclusivity must be specific, commercially agreed and recorded in writing.
Original buyer designs: HSF will not knowingly manufacture a buyer-owned original design for an unrelated third party without authorization. This does not prevent HSF from producing common footwear types, standard constructions or independently developed products that do not use the buyer’s protected information.
STANDARD EXCLUSIONS
Information that is generally not confidential
- Information already lawfully known by the receiving party before disclosure.
- Information that becomes public without breach of confidentiality.
- Information lawfully received from another source without a confidentiality duty.
- Information independently developed without using the other party’s confidential information.
- Information approved for release in writing by the party that owns it.
- General footwear knowledge, common product features and publicly available market information.

Confidentiality FAQs
A signed mutual NDA is available for projects requiring formal, customized confidentiality terms.
Will you use our product pictures on your website or social media?
Not without prior written permission. Buyer-supplied photographs, confidential sample images and unreleased products will not be used for HSF marketing, portfolio or social-media content unless the buyer approves the exact use.
Will you tell other people that our brand works with your factory?
Not without written approval. We will not disclose the customer relationship, brand name, logo, launch plan or order information to unrelated buyers or use it as a public endorsement without permission.
Will you show our selected materials or specifications to another buyer?
Project-specific materials, colour selections, specifications, tech packs, samples and sourcing decisions will not be disclosed to unrelated clients. Generic materials and common footwear components may still be used in other non-confidential projects.
May a buyer share HSF quotations or supplier information with another factory?
No, not without written consent. Quotations, costing information, negotiated terms, supplier identities and non-public production information are HSF confidential information and should not be used to bypass the factory.
Does sending a design automatically give the buyer exclusivity?
No. Confidentiality protects non-public information, but product, design, customer, territory or market exclusivity must be separately defined and agreed in writing.
Can Handmade Shoes Factory sign our company’s NDA?
Yes. Buyer-provided NDAs can be reviewed before confidential files are shared. The final document should identify the correct legal parties, permitted purpose, confidentiality period, governing law, ownership and any project-specific restrictions.
